These Terms of Service ("Terms") are a contract between you and Napa Travel Pass LLC ("Napa Travel Pass," "NTP," "we," "us"), the operator of the Napa Travel Pass membership program, website, and member app (together, the "Service"). By purchasing a pass or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Please read Section 19 (Dispute Resolution). It requires binding arbitration and waives class actions, with a 30-day opt-out.
1.What Napa Travel Pass Is
Napa Travel Pass is a seasonal wine-country membership for Napa Valley, California. Members buy a pass for a named season and redeem perks — discounted or complimentary tastings, restaurant, lodging, and experience offers — at participating partner venues by presenting a QR code in the member app. Perks are fulfilled by the partner venues, not by us (Section 7).
2.Eligibility
You must be at least 21 years old and a resident of the United States to purchase a pass or hold an account. Membership involves wine tastings at licensed venues; by joining, you represent that you are 21 or older. We may require proof of age and may terminate any account that misrepresents age. Partner venues will independently verify age and ID at the door.
3.Accounts and Magic-Link Sign-In
We use passwordless sign-in: we email (and, when available, text) you a single-use sign-in link or code. No password is stored for your account.
- Each magic link is single-use and expires; do not forward or share one.
- Anyone with access to your email inbox (or, for SMS sign-in, your phone) can access your account. You are responsible for securing your email account and phone.
- Keep your contact details current. Tell us promptly at support@napatravelpass.com if you suspect unauthorized access.
- You may hold one account, in your own name, with accurate information.
4.Membership Term, Seasons, and Expiry
Each pass is valid only for the named season printed at purchase (for example, "Fall 2026"). All perks and pass benefits expire at the end of that season, whether or not used. Unused perks have no cash value and do not roll over. Passes are personal to you and non-transferable — they may not be resold, gifted after activation, or shared.

Prices may change for future seasons; a price change never affects a season you have already purchased. The pass price does not include concierge or driver services themselves. The Elite tier includes access to book them; each engagement carries its own separate fee, disclosed before you confirm a booking (Section 8). The Elite private concierge and private driver, and the Plus AI concierge, are subject to Sections 8 and 9.
6.Payments, Refunds, and Chargebacks
Payments are processed by our payment processor at purchase. Every Pass is a one-time purchase for its stated season: it does not renew automatically, we do not keep a payment method on file for renewal, and no further charge follows. We do not store your full card number (see our Privacy Policy). We — not the payment processor and not our platform provider — are responsible for billing questions, refunds, disputes, and chargebacks; contact support@napatravelpass.com.
Refund policy: You may receive a full refund within 14 days of purchase if you have not redeemed any perk. Once any perk is redeemed, or after 14 days, the purchase is non-refundable. No refund is due if we terminate your account for violation of these Terms (Sections 11 and 15). Passes are non-transferable and have no cash value.
If a charge is disputed in bad faith while perks were redeemed, we may suspend the account pending resolution.
7.Perks and Partner Venues
- Perks are fulfilled by independent partner venues, not by Napa Travel Pass. We arrange the offers; the venue delivers them.
- Availability is not guaranteed. Perks may be subject to reservation requirements, capacity, blackout dates, seasonal hours, and change or withdrawal by the partner. A perk listed in the app is an invitation, not a guarantee of service on arrival.
- Venue discretion. Partner venues may refuse or limit service at their sole discretion, including for age verification, intoxication, conduct, or capacity. Their staff make all service decisions.
- Responsible service; no alcohol sales by NTP. Napa Travel Pass never sells, serves, furnishes, or delivers alcohol. All alcohol service occurs at licensed partner venues under their licenses and their staff's judgment. Drink responsibly and never drive impaired.
- If a partner venue leaves the program mid-season, we will use reasonable efforts to substitute comparable perks, but partner participation may change during a season.
8.Third-Party Concierge and Driver Services (Elite)
The Elite tier's private concierge and private driver services are provided by independent third-party affiliates, not by Napa Travel Pass. These providers are not our employees, agents, or contractors; we do not own, operate, dispatch, or supervise their vehicles or personnel.
- Separate fees. Concierge and driver services are not included in your pass price. Each engagement is priced separately, and the fee is disclosed before you confirm a booking. Unless we state otherwise at booking, fees are set by and payable to the provider.
- We share only the booking details needed to fulfill your request (see Privacy Policy).
- We are not liable for the acts, omissions, vehicles, timeliness, or conduct of these independent providers. Your recourse for a service failure by a provider is against that provider, though we will assist in good faith with escalation.
- Assumption of risk — transportation. Riding in a third-party vehicle carries inherent risks, including traffic accidents. By booking a driver through the Service you knowingly and voluntarily assume those risks to the fullest extent permitted by law. Nothing in this section limits a provider's own legal responsibilities to you.
9.AI Concierge (Plus and Elite)
The AI concierge generates recommendations and itineraries automatically using third-party AI models. AI output can be wrong, incomplete, or outdated. It is provided for convenience only, "as is," without any warranty of accuracy, and is not professional advice. Verify hours, reservations, pricing, and driving arrangements before relying on them. We disclaim all warranties for AI-generated content to the fullest extent permitted by law.
10.Member Content (Reviews and Photos)
You may post reviews, photos, and similar content ("Member Content").
- License. You keep ownership of your Member Content. You grant NTP a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, adapt (for formatting), and promote the Service using your Member Content, for as long as it remains posted plus a reasonable wind-down period. You can delete your content at any time; deletion ends future promotional use but may not recall copies already published with your content.
- Your promises. You have the rights to what you post; it depicts real experiences; it does not violate anyone's privacy, publicity, or IP rights; and it complies with Section 11.
- Moderation and takedown. All Member Content is subject to review. We may remove, edit for display, decline, or restrict any content at our discretion, with or without notice, including content that is unlawful, deceptive, harassing, or off-topic. To report content or request takedown, contact support@napatravelpass.com.
11.Prohibited Conduct
You agree not to:
- share, resell, or transfer your pass, QR code, or sign-in links;
- misrepresent your age or identity, or redeem perks for anyone under 21;
- abuse perks (e.g., duplicate redemptions, exploiting technical errors, coordinated redemption schemes);
- harass venue staff, other members, or providers, or arrive at venues intoxicated and demand service;
- scrape, reverse engineer, probe, or interfere with the Service or its security;
- post unlawful, infringing, deceptive, or malicious content, or use the Service to spam;
- use the Service in violation of any law, including alcohol beverage and traffic laws.
Violations may result in suspension or termination without refund (Section 15).
12.Intellectual Property
The Service — including the Napa Travel Pass name, logo, app, designs, text, and software — is owned by NTP or its licensors and protected by IP laws. We grant you a limited, revocable, non-transferable license to use the app for personal, non-commercial membership use during your season. No other rights are granted. Partner names and marks belong to the partners.
13.Privacy
Our collection and use of your information is described in the Napa Travel Pass Privacy Policy (published separately), which is incorporated into these Terms by reference. Napa Travel Pass — not our hosting platform — is the business responsible for your personal information.
14.Communications Consent
- Email (required). Transactional email — sign-in links, receipts, redemption confirmations, account and legal notices — is essential to operating your account and cannot be opted out of while your account is open. Marketing email is optional; every marketing email includes an unsubscribe link.
- SMS (optional). If you provide your phone number and opt in, you consent in writing to receive texts from Napa Travel Pass at that number, sent via an automated system, from our toll-free number +1 (888) 854-3207. Consent to marketing texts is not a condition of purchase. Each text identifies Napa Travel Pass. Message and data rates may apply. Message frequency varies. Reply STOP to opt out, HELP for help. Opting out of SMS may disable SMS sign-in; email sign-in remains available. Mobile carriers are not liable for delayed or undelivered messages.
- We record the time and source of your communications consents.
15.Suspension and Termination
You may cancel your account at any time via the app or support@napatravelpass.com (refunds per Section 6 only). We may suspend or terminate your account or any perk access at any time for violation of these Terms, suspected fraud or abuse, legal requirement, or risk to venues, providers, or other members. Where practical we will give notice and a chance to respond, but we reserve the right to act immediately.
Export before deletion. After your account closes (by you or us), you have a 30-day window to export your data (itineraries, preferences, content). After that window, deletion is immediate and irreversible — we cannot recover your data afterward. See the Privacy Policy retention table.
16.Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NTP AND ITS PLATFORM AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY OF UPTIME, AVAILABILITY, OR ERROR-FREE OPERATION. THE APP AND AI FEATURES MAY BE INTERRUPTED, DELAYED, OR UNAVAILABLE. WE DO NOT WARRANT PARTNER VENUES, THIRD-PARTY PROVIDERS, OR AI OUTPUT. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
17.Assumption of Risk
Wine-country activities carry inherent risks: alcohol consumption, travel between venues, outdoor and agricultural settings, third-party transportation, and weather. You knowingly and voluntarily assume the risks inherent in the activities you choose to undertake using the Service, to the fullest extent permitted by law. This does not waive rights that cannot be waived under applicable law.
18.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER NTP NOR ITS PLATFORM AND SERVICE PROVIDERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA; AND (b) THE TOTAL AGGREGATE LIABILITY OF NTP AND ITS PLATFORM AND SERVICE PROVIDERS FOR ALL CLAIMS RELATING TO THE SERVICE IS CAPPED AT THE FEES YOU PAID TO NTP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply regardless of legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
19.Dispute Resolution — Arbitration and Class-Action Waiver
- Informal first. Before filing, email support@napatravelpass.com with a description of the dispute; the parties will attempt in good faith to resolve it within 30 days.
- Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Santa Clara County, California. The Federal Arbitration Act governs this section. Either party may instead bring qualifying claims in small-claims court.
- Class-action waiver. DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, and the arbitrator may not consolidate claims.
- 30-day opt-out. You may opt out of this arbitration agreement and class waiver by emailing support@napatravelpass.com within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out. Opting out does not affect any other section.
20.Platform Provider; Third-Party Beneficiary
The Service is built and hosted on a third-party technology platform. Our platform provider is an express intended third-party beneficiary of Sections 16, 17, 18, and 19 of these Terms and may enforce those sections directly in its own name. Our platform provider is a technology provider only: it is not a party to your membership, does not fulfill perks, and does not provide member support — all member-facing obligations, including refunds and payment support, are ours alone. There are no other third-party beneficiaries of these Terms.
21.Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, wildfire and smoke events, power or telecommunications outages, epidemics, labor disputes, government action, and failures of third-party vendors, hosting platforms, or payment or communications providers. We will use reasonable efforts to restore the Service; force majeure does not excuse your payment obligations for perks already redeemed.
22.Changes to These Terms
These Terms are versioned (effective date and version number at the top). For material changes we will give at least 30 days' advance notice by email before the change takes effect. Changes that reduce your rights under Section 18 (liability) or Section 19 (arbitration) take effect only upon your affirmative acceptance — continued use alone is not acceptance of those changes. We also reserve the right to amend these Terms as required by changes to our upstream platform provider's terms; such amendments follow the same notice-and-acceptance rules stated here. If you do not accept a material change, you may cancel; Section 6 governs refunds.
23.Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and, where applicable, the Federal Arbitration Act. For any matter not subject to arbitration, the state and federal courts located in Santa Clara County, California have exclusive jurisdiction, and both parties consent to venue there.
24.General
If any provision is unenforceable, the rest remain in effect (except that if the class-action waiver is held unenforceable as to a claim, that claim must proceed in court, not arbitration). These Terms plus the Privacy Policy are the entire agreement between you and NTP about the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
